1. Introduction
Welcome. These Terms of Service ("Terms") govern the music production services, including but not limited to audio mixing, mastering, and consultation ("Services"), provided by Nicholas Morris “RunItUpNick” ("we," "us," "our"). By purchasing or booking any Service through this website, you ("Client," "you") agree to be bound by these Terms, which constitute a legally binding agreement. Please read them carefully.
2. Services
We agree to perform the Services as described on our "Services" page at the time of purchase. The quality of the final product is inherently dependent on the quality of the source audio files ("stems") provided by the Client. The Client is responsible for providing high-quality, clearly labeled audio files as requested.
3. Payment and Fees
All fees for Services must be paid 100% upfront at the time of booking. This payment secures your place in our schedule and allows us to begin work on your project promptly. All payments are processed securely through our trusted payment partners.
4. Project Cancellation & Satisfaction Guarantee
We are committed to delivering a professional result that aligns with your vision. Our process is designed to ensure your satisfaction while protecting the integrity of our work.
Initial Review Period: After we deliver the first version of your mix ("First Pass"), you will have a review period of three (3) business days to provide feedback.
Cancellation Option: If, after reviewing the First Pass, you are not satisfied with the creative direction and do not wish to proceed with the revision process, you may request to terminate the project.
Refund Process: Upon receiving your termination request within the 3-day review period, we will issue a refund of 50% of the total fee paid. The remaining 50% is non-refundable and will be retained as a service and booking fee (a "kill fee") to compensate for the work already performed, studio time, and the reserved slot in our schedule.
Consequences of Cancellation: Upon issuance of the 50% refund, this Agreement is immediately terminated. You will receive no project files, and you are granted no license, express or implied, to use any version of the mix, master, or any other work product provided by us.
Proceeding with Revisions: If you approve the First Pass or submit a list of revisions, you are expressing satisfaction with the foundational mix and are no longer eligible for the 50% cancellation refund. We will then proceed with the revision process as outlined below.
5. Revisions
Each mixing and mastering service includes a specific number of revision rounds as outlined in the original service description (typically two rounds).
A "revision round" is defined as a single, consolidated list of requested changes provided by the Client in one email. This process begins after the Client has approved the initial First Pass.
Additional revision rounds beyond what is included in the purchased service will be billed at our standard hourly rate of $75 per hour.
6. Deliverables
Upon receipt of final payment, we will provide the final audio files as described in the purchased Service package via a secure digital download link. This link will remain active for at least 30 days. It is the Client's responsibility to download and securely back up all delivered files. We are not responsible for storing your project files indefinitely.
7. Client Content & Responsibility
Ownership: You represent and warrant that you own or have obtained all necessary rights, licenses, and permissions for any and all audio files and musical compositions you provide to us.
Indemnification: You agree to indemnify and hold harmless Nicholas Morris “RunItUpNick” from any and all claims, damages, liabilities, costs, and expenses (including reasonable attorney's fees) arising from any breach of this warranty. This includes, but is not limited to, claims of copyright infringement related to uncleared samples, loops, or other third-party material you provide.
8. Intellectual Property & Credit
Ownership of Master: Upon full payment, the Client will own 100% of the copyright to the final master recording (the "sound recording"). This is a "work-for-hire" service.
Credit: The Client agrees to provide proper credit on all commercial and public releases of the work. The credit shall be substantially in the form: "Mixed and Mastered by RunItUpNick".
Promotional Use: We retain the right to use reasonable excerpts of the final work (after its public release by the Client) for our professional portfolio, on our website, and on our social media for promotional purposes.
9. Limitation of Liability
No Guarantee of Success: We make no guarantees, express or implied, regarding the commercial success, streaming numbers, or marketability of the final product.
Maximum Liability: To the maximum extent permitted by law, you agree that our total liability for any and all claims, damages, or losses related to our Services shall be strictly limited to the total amount you paid us for the specific Service in question.
Disclaimer of Consequential Damages: In no event shall we be liable for any indirect, incidental, special, or consequential damages, including but not limited to lost profits, lost data, or business interruption.
10. Term and Termination
If the Client fails to communicate or provide necessary feedback for a period of 60 consecutive days, we reserve the right to deem the project complete, and the final payment may be due. No refunds will be issued for abandoned projects.
11. Governing Law
These Terms shall be governed by and construed in accordance with the laws of the State of Oregon, without regard to its conflict of law principles.
12. Entire Agreement & Modifications
These Terms, along with the details on our "Services" page, constitute the entire agreement between you and us. We reserve the right to modify these Terms at any time. The version of the Terms that was active at the time of your purchase will govern our agreement.
